SPA Advisory - Our team The Sale and Purchase Agreement (SPA) team specialise in assisting clients with Net Working Capital (NWC) and Net Debt, working independently or alongside the financial due diligence team. We support clients post-signing and completion by preparing or reviewing Completion Statements and Earn-Outs and help resolve related disputes if necessary.
Additionally, we play a crucial role in negotiating the financial aspects of transactions, whether buying or selling, aiming to maximise value and ensure no money is left on the table. We collaborate closely with our clients' other advisors, such as investment banks, M&A teams, lawyers, and due diligence teams, to drive value throughout the SPA negotiation process. Ng Krero mo tnei tranga / About the role In this role, youll work within a specialist team within PwC's Deals practice.
Your primary responsibilities will include: Build and manage strong relationships with both clients and their advisors, providing strategic insight and ensuring effective collaboration throughout the transaction process. Manage and participate in the execution of Sale and Purchase Agreement (SPA) advisory engagements, assisting clients with acquisitions or disposals. Provide insights on purchase price mechanisms, cash, debt, and working capital adjustments, and review financial aspects of SPAs.
Work closely with clients' bankers, legal advisers, and internal transaction diligence teams to deliver integrated solutions and ensure no value is lost during negotiations. Manage multiple projects simultaneously in a fast-paced environment, potentially leading a small team to ensure smooth execution and delivery of client engagements. Present findings and updates to directors and partners, draft concise client deliverables, and articulate technical issues and recommendations clearly to clients and stakeholders.
Ng pkenga kei a koe / Skills and experience A relevant tertiary qualification in Finance, Economics, Accounting or similar. 3-5 years of experience in transaction services or corporate finance, or strong accounting knowledge from an audit background, in a client facing role (or equivalent, with experience in managing stakeholders). Strong commercial acumen, project management skills, and the ability to work flexibly across multiple jobs.
